Terms of Service

1. Acceptance of Terms
By engaging SharpCodeIT services, you enter into a legally binding agreement under the Bangladesh Contract Act, 1872. Accessing our website, requesting a quote, or signing a service agreement constitutes full acceptance of these terms.
2. Nature of Services
SharpCodeIT provides freelance IT services including:
- Business profits or revenue outcomes
- SEO ranking positions
- Market performance or commercial success
- Continuous uptime unless separately contracted
3. Communication Policy
Clients must:
- Respond within reasonable time to project-related queries
- Provide necessary content, assets, and materials on time
- Maintain valid and active contact details throughout the engagement
4. Payment Terms
- Non-refundable: All payments are non-refundable unless agreed in writing
- Milestone-based: Milestone payments must be completed before the next phase begins
- Chargebacks: Unauthorized chargebacks may result in legal action under Bangladesh law
- Currency: BDT for local clients, USD or equivalent for international clients
- Late payment: Invoices unpaid beyond 15 days may incur a late fee of 2% per month
- Taxes: All applicable taxes (VAT per Bangladesh VAT Act, 2012) are the client's responsibility unless stated otherwise
5. Intellectual Property
Under the Copyright Act, 2000 (Bangladesh):
- Ownership transfers only after full payment — until then, all work remains the property of SharpCodeIT
- SharpCodeIT retains rights to pre-existing tools, frameworks, and reusable components
- The company may showcase completed projects in its portfolio unless a separate NDA is signed
- Third-party open-source components remain subject to their original licenses
6. Client Misuse Disclaimer
SharpCodeIT is not responsible for:
- Illegal business operations conducted using our software
- Fraudulent activity conducted by clients or their end-users
- Violations of tax laws or regulatory compliance by clients
- Data misuse by client employees or third parties
7. Indemnification Clause
Client agrees to defend, indemnify, and hold harmless SharpCodeIT and its employees from:
arising directly or indirectly from client actions, decisions, or misuse of delivered services.
8. Force Majeure
Under Bangladesh law, SharpCodeIT shall not be liable for failure or delay due to:
The affected party shall notify the other within 7 days. Both parties shall negotiate in good faith to resolve the situation.
9. Employee Protection Clause
- Employees act only within their assigned duties and authorized scope
- Unauthorized promises by employees are not binding unless confirmed in writing by management
- Individual employee misconduct does not automatically create company liability unless proven under law
- All employees must comply with confidentiality and ethical standards
10. Dispute Resolution
All disputes shall:
- Be governed by the laws of the People's Republic of Bangladesh
- Be subject to the exclusive jurisdiction of courts in Dhaka, Bangladesh
- Attempt amicable resolution before any litigation proceedings
If amicable resolution fails within 30 days, disputes may be referred to mediation under the Arbitration Act, 2001 of Bangladesh before proceeding to court.
11. Limitation of Liability
To the fullest extent permitted by Bangladesh law:
- Total liability of SharpCodeIT shall not exceed the total fees paid for the disputed service
- We are not liable for indirect, incidental, consequential, or punitive damages
- We are not responsible for loss of profit, data, or business opportunity
All services are provided on an "AS IS" and "AS AVAILABLE" basis.
SharpCodeIT disclaims all implied warranties including merchantability and fitness for a particular purpose. The client assumes full responsibility for evaluating the suitability of our services for their specific business needs.
